1. Parties & Scope
Seller: WangShi Technology Co., Ltd. ("AiViewLink"), registered in Shenzhen, China.
Buyer: The corporate entity or individual placing the order via aiviewlink.sg or direct correspondence.
These Terms apply to all sales of AI camera products, accessories, and associated services unless otherwise agreed in writing.
2. Orders & Acceptance
- Orders are accepted upon receipt of a written Purchase Order (PO) and confirmation by AiViewLink.
- Order modifications must be submitted in writing at least 5 business days before the confirmed production/shipment date.
- AiViewLink reserves the right to decline orders at its discretion.
3. Pricing & Payment
- All prices are quoted in USD unless otherwise stated.
- Standard payment terms: T/T 30% deposit on order confirmation, 70% balance before shipment.
- Letter of Credit (L/C) accepted for orders =USD 50,000.
- Sample orders may be paid via PayPal, T/T, or credit card.
- Late payments incur interest at 1.5% per month.
4. Minimum Order Quantity (MOQ)
- Standard stock products: MOQ 50 units per model.
- OEM/ODM projects: MOQ negotiated per project scope.
- Sample orders: 1–5 units (sample fees apply and may be refunded on bulk order).
5. Delivery & Shipping
- Default Incoterms: FOB Yantian Port, Shenzhen. DDP/CIF available on request.
- Lead time: Stock items 3–7 business days; OEM/ODM 25–45 days from deposit receipt.
- AiViewLink is not liable for delays caused by customs, carrier, or force majeure.
- Risk of loss passes to Buyer upon delivery to the carrier.
6. Warranty
- Standard warranty: 12 months from shipment date against manufacturing defects.
- OEM/ODM contracts: 24 months as specified in the project agreement.
- Warranty is void if the product is modified, misused, or damaged by external factors.
- DOA (Dead on Arrival) replacement within 30 days of delivery with photographic evidence.
- Warranty does not cover consumables, normal wear, or cosmetic damage.
7. Returns & RMA
- Returns require a Return Merchandise Authorization (RMA) number issued by AiViewLink.
- Unauthorized returns will be refused and returned at Buyer's cost.
- Non-defective returns (change of mind) are not accepted after production commencement.
8. Intellectual Property
- AiViewLink retains all IP rights to product designs, firmware, and documentation.
- OEM buyers receive a limited license to use customized firmware solely on purchased units.
- Reverse engineering, decompilation, or copying of firmware is strictly prohibited.
9. Limitation of Liability
AiViewLink's maximum liability shall not exceed the invoice value of the specific goods that caused the claim. AiViewLink is not liable for indirect, consequential, or incidental damages, loss of profit, or data loss.
10. Export Compliance
Buyer is responsible for ensuring compliance with all applicable export control laws in the destination country. Buyer shall not re-export products to sanctioned countries or parties.
11. Governing Law & Dispute Resolution
These Terms are governed by the laws of the People's Republic of China. Disputes shall first be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) in Shenzhen.
12. Amendments
AiViewLink may update these Terms at any time. The version in effect at the time of order placement applies. Continued business constitutes acceptance of updated Terms.
